ABOUT THE PERSON

Michael Schwartzkopff studied law at the Universities of Berlin, Saarbrücken and Münster. He was admitted to the bar in 1998. From 1998 to 2000 he was an in-house lawyer at the Düsseldorf Stock Exchange. Among other things, he was head of the securities admission office there. He also worked at the Frankfurt Stock Exchange as a member of the commission for the auditing of stock exchange traders. At the beginning of 2001, he moved to a medium-sized law firm based in Cologne. In 2006, he became a founding partner of LLR.

 

Michael Schwartzkopff specialises in corporate and capital markets law as well as legal support for M&A transactions. This includes corporate actions, public and non-public placements of shares and debt instruments, including the preparation of securities prospectuses. He also advises issuers on the fulfilment of follow-up obligations arising from being public. He also specialises in advising shareholders’ meetings and general meetings. If required, he also assumes the role of neutral chairperson at critical general meetings. Michael Schwartzkopff also advises on M&A processes, the drafting of articles of association and investor agreements. He also has experience in acquisition and takeover bids under the German Securities Acquisition and Takeover Act (WpÜG), squeeze-outs and structural measures.

 

He regularly publishes on corporate and capital markets law. Michael Schwartzkopff is the author of the practitioner’s handbook “Vorbereitung und Durchführung der Hauptversammlung”.

 

When Michael Schwartzkopff is not working, the father of two enjoys open water swimming, fly fishing and cooking.
